& PRIVACY POLICY

1. Registration

You permit Indata AI / QuickLead to create a software account using the email address provided during registration or on the order form, and you agree to:

• Change the password immediately after account creation and maintain the security of your password and account credentials.
• Maintain and promptly update your Registration Data and any other information you provide so that it remains accurate, current, and complete.
• Accept all risks of unauthorized access to the Registration Data and any other information you provide to us.
• Receive all communications from QuickLead / Indata AI only at the registered email address.

2. Payments

You represent and warrant that:

• You will pay all charges incurred at the agreed prices, including any applicable taxes, based on your subscription plan or order form.
• You will honour any cheque, online payment, UPI, or other payment instrument given at the time of signing the software subscription agreement or activating a paid plan.

3. Subscriptions & Free Trial

• QuickLead offers a 7-day free trial with full access to core features (no credit card required for registration). After the trial ends, continued access requires a paid subscription.
• Your paid software subscription remains active for the period stated in your plan (typically one year unless otherwise specified). After expiry, you must renew to continue access.
• Indata AI / QuickLead reserves the right to change subscription prices with reasonable prior notice. Price changes for existing annual plans will generally not occur more frequently than once every three years.
• Failure to renew may result in suspension or permanent deletion of your workspace and data after a reasonable grace period.

4. Limited License; Permitted Uses

You are granted a non-exclusive, non-transferable, revocable license to:

• Access and use the Software strictly in accordance with this Agreement.
• Use the services for your own internal business purposes only. You may not resell, lease, sublicense, or provide the Service to any third party.

5. Restrictions and Prohibitions on Use

Your license is subject to the following restrictions. You may not:

• Copy, print (except for limited internal business use), republish, display, distribute, transmit, sell, rent, lease, loan, or otherwise make available any portion of the Site or Content and Materials.
• Use the Site or materials obtained from it to develop, or as a component of, any commercial information system, database, or similar resource.
• Create compilations or derivative works of any Content and Materials from the Site.
• Use any Content and Materials in a manner that infringes any copyright, intellectual property, or proprietary right of Indata AI, QuickLead, or any third party.
• Remove, change, or obscure any copyright notice, proprietary notice, or terms of use.
• Make any portion of the Site available through the Internet or any other technology without authorization.
• Decompile, disassemble, reverse engineer, or attempt to discover the source code or architecture of the Software.
• Use any automatic or manual process to harvest information from the Site.
• Use the Site for gathering information for or transmitting: (a) unsolicited commercial email/SMS; (b) email using deceptive addressing or invalid domains; (c) unsolicited telephone calls or facsimile transmissions; or (d) any activity that violates Indian or applicable laws regulating electronic communications.
• Export or re-export the Site or any software in violation of the export control laws or regulations of India.

6. Linking to the Site

You may provide links to the Site provided that:

• You do not remove or obscure advertisements, copyright notices, or other notices on the Site.
• Your site does not engage in illegal or pornographic activities.
• You discontinue providing links immediately upon request by us.

7. Errors, Corrections and Changes

We do not represent or warrant that the Site will be error-free, free of viruses or other harmful components, or that defects will be corrected. We do not represent or warrant that the information available on or through the Site will be correct, accurate, timely, or otherwise reliable. We may make changes to the features, functionality, or content of the Site at any time without notice. We reserve the right in our sole discretion to edit or delete any documents, information, or other content appearing on the Site.

8. Third-Party Applications & Integrations

QuickLead integrates with third-party services (including Meta WhatsApp Cloud API, Facebook Leads, Instagram, and others). We are not responsible for the availability, accuracy, policies, or performance of these third-party services. You are solely responsible for complying with the terms and policies of any third-party providers you connect to the Service. Indata AI is not liable for any account restrictions, bans, or data issues imposed by such third parties.

9. Unlawful Activity

We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information.

10. Indemnification

You agree to indemnify, defend, and hold harmless Indata AI, QuickLead, and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third-party suppliers, attorneys, and affiliates (collectively, "Affiliated Parties") from any liability, loss, claim, and expense, including reasonable attorney's fees, related to your violation of this Agreement or use of the Site or Service.

11. Non-Transferable

Your right to use the Site and Service is not transferable or assignable. Any password or right given to you to obtain information or documents is not transferable or assignable.

12. Disclaimer

THE INFORMATION, CONTENT, DOCUMENTS, AND SERVICES FROM OR THROUGH THE SITE ARE PROVIDED "AS-IS," "AS AVAILABLE," WITH "ALL FAULTS." ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE INFORMATION AND SERVICES MAY CONTAIN BUGS, ERRORS, PROBLEMS, OR OTHER LIMITATIONS. WE AND OUR AFFILIATED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR SERVICE. IN PARTICULAR, WE AND OUR AFFILIATED PARTIES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF DATA, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH THE SITE OR OTHERWISE SHALL CREATE ANY WARRANTY, REPRESENTATION, OR GUARANTEE NOT EXPRESSLY STATED IN THIS AGREEMENT. ALL RESPONSIBILITY OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES CONTAINED WITHIN ELECTRONIC FILES IS DISCLAIMED.

13. Limitation of Liability

We and any Affiliated Party shall not be liable for any loss, injury, claim, liability, or damage of any kind resulting in any way from:

1. Any errors in or omissions from the Site or any services or products obtainable therefrom;
2. The unavailability or interruption of the Site or any features thereof;
3. Your use of the Site;
4. The content contained on the Site; or
5. Any delay or failure in performance beyond the control of a Covered Party.

THE AGGREGATE LIABILITY OF INDATA AI / QUICKLEAD AND THE AFFILIATED PARTIES IN CONNECTION WITH ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE AND/OR THE PRODUCTS, INFORMATION, DOCUMENTS, AND SERVICES PROVIDED HEREIN SHALL NOT EXCEED ₹1,000 (INDIAN RUPEES ONE THOUSAND ONLY), AND THAT AMOUNT SHALL BE IN LIEU OF ALL OTHER REMEDIES WHICH YOU MAY HAVE AGAINST US AND ANY AFFILIATED PARTY.

14. Use of Information & Customer Data

You acknowledge that you are responsible for whatever material you submit (leads, notes, documents, messages, PDFs, etc.), and you, not us, have full responsibility for the message, including its legality, reliability, appropriateness, originality, and copyright.

Customer Data (leads, contacts, notes, documents, conversation history, task records, etc.) remains your property. Indata AI / QuickLead will not review, share, distribute, or reference any such Customer Data except as provided in these Terms, as required to provide the Service, for support purposes, to investigate suspected violations, or as may be required by law. Customers are responsible for maintaining the security and confidentiality of their user IDs and passwords.

15. Account Suspension & Termination

We may suspend or terminate your account for non-payment, violation of these Terms, abusive or unlawful use, prolonged inactivity, or any other reason at our reasonable discretion. Upon termination, we may delete your workspace and Customer Data after a reasonable notice/grace period, unless legally required to retain it. You may request data export (CSV) prior to termination where reasonably practicable.

16. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be notified in advance when reasonably possible. We are not liable for downtime caused by factors beyond our reasonable control.

17. WhatsApp & Third-Party API Compliance

Users must comply with Meta's WhatsApp Business Platform policies and any other third-party API terms. Indata AI / QuickLead is not responsible for account bans, messaging restrictions, or other actions taken by Meta or other providers against your connected accounts.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials, or internet/service provider outages.

19. Legal Compliance

You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of the Site and the Content and Materials provided therein, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (as applicable).

20. Governing Law & Miscellaneous

This Agreement shall be treated as though it were executed and performed in Hubballi, Karnataka, India (Indata AI) and shall be governed by and construed in accordance with the laws of the Union of India. All actions shall be subject to the exclusive jurisdiction of the competent courts in Hubballi / Dharwad, Karnataka.

The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against any party. This Agreement and all incorporated agreements and your information may be automatically assigned by us in our sole discretion to a third party in the event of an acquisition, sale, or merger.

Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence.

Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under this Agreement shall survive any termination of this Agreement. We may update these Terms from time to time; continued use after changes constitutes acceptance. Material changes will be notified via email or dashboard notice where practicable.

1. Information We Collect

This Privacy Policy explains how Indata AI ("we", "us", or "our"), the operator of QuickLead, collects, uses, stores, shares, and protects personal information when you use our website and the QuickLead Lead Management & CRM platform.

1.1 Information You Provide

When you register for a QuickLead account, start a trial, subscribe, or contact us, we may collect:

• Name, email address, phone number, company name, and account password
• Billing and payment information (processed via secure third-party payment gateways)
• Business details required for workspace setup
• Any other information you voluntarily submit through forms, support requests, or communications

1.2 Customer Data

As a CRM platform, QuickLead processes data that you (the customer) upload or generate — including leads, contacts, notes, follow-up records, tasks, PDFs, WhatsApp message logs, and interaction history ("Customer Data"). This data is owned by you. We process it solely to provide the Service.

1.3 Automatically Collected Information

• Cookies and similar technologies — we use cookies primarily for authentication, session management, and to improve service quality by storing preferences and understanding usage trends.
• Log information — when you access the Service, our servers automatically record information such as IP address, browser type, browser language, date and time of request, pages viewed, and referring URLs.
• Device and usage data — device type, operating system, and approximate location derived from IP address.

2. How We Use Your Information

We use the information we collect to:

• Provide, operate, maintain, and improve the QuickLead Service
• Create and manage your account and workspace
• Process payments and send invoices/receipts
• Send service-related communications (account notifications, security alerts, feature updates)
• Respond to support requests and inquiries
• Monitor and analyse usage to improve performance, security, and user experience
• Detect, prevent, and address fraud, security, or technical issues
• Comply with legal obligations
• With your consent, send marketing or promotional communications (you may opt out at any time)

Important: Customer Data is not used for our marketing purposes or sold to third parties.

3. Data Integrity

We process personal information only for the purposes for which it was collected and in accordance with this Privacy Policy. We review our data collection, storage, and processing practices to ensure we only collect, store, and process the personal information needed to provide or improve our services. We take reasonable steps to ensure that the personal information we process is accurate, complete, and current, but we depend on our users to update or correct their personal information whenever necessary.

4. Information Sharing

Indata AI / QuickLead only shares personal information with other companies or individuals outside of Indata AI in the following limited circumstances:

• With our subsidiaries, affiliated companies, or trusted service providers who process information on our behalf (e.g., hosting, payment processing, email delivery). These parties are required to process such information based on our instructions and in compliance with this Privacy Policy and appropriate confidentiality and security measures.
• When we have a good-faith belief that access, use, preservation, or disclosure is reasonably necessary to: (a) satisfy any applicable law, regulation, legal process, or enforceable governmental request; (b) enforce applicable Terms of Service, including investigation of potential violations; (c) detect, prevent, or otherwise address fraud, security, or technical issues; or (d) protect against imminent harm to the rights, property, or safety of Indata AI, its users, or the public as required or permitted by law.
• In the event Indata AI becomes involved in a merger, acquisition, or any form of sale of some or all of its assets, we will provide notice before personal information is transferred and becomes subject to a different privacy policy.

5. Customer Data Handling

QuickLead customers use the Service to host data and information ("Customer Data"). We will not review, share, distribute, or reference any such Customer Data except as provided in the Terms of Service, or as may be required by law. Individual records of Customer Data may be viewed or accessed only for the purpose of resolving a problem, support issues, or suspected violation of the Terms of Service, or as may be required by law. Customers are responsible for maintaining the security and confidentiality of their QuickLead user IDs and passwords.

6. Data Security

We implement reasonable technical and organisational measures designed to protect personal information and Customer Data against unauthorised access, disclosure, alteration, or destruction. Each business receives an isolated private workspace. However, no method of transmission over the Internet or electronic storage is 100% secure. You are responsible for safeguarding your login credentials.

7. Data Retention & Deletion

We retain account information and Customer Data for as long as your account is active or as needed to provide the Service. Upon account termination or written request, we will delete or anonymise personal data and Customer Data within a reasonable period, unless we are legally required to retain it (e.g., for tax, accounting, or dispute resolution purposes). You may export your data (CSV) at any time while your account is active.

8. Your Rights (India)

Under applicable Indian law (including the Digital Personal Data Protection Act, 2023, as and when fully applicable), you may have the right to:

• Access the personal data we hold about you
• Request correction of inaccurate or incomplete data
• Request erasure of your personal data (subject to legal retention requirements)
• Withdraw consent where processing is based on consent
• Lodge a complaint with the relevant data protection authority

9. Cookies

QuickLead is a business-oriented service and is not directed at children under 18 years of age. We do not knowingly collect personal information from children. If you believe we have collected such information, please contact us so we can delete it.

Primary processing and storage of data occurs in India. Where we use third-party service providers that may process data outside India, we take appropriate steps to ensure adequate protection consistent with applicable law.

12. Changes to this Privacy Policy

We may update this Privacy Policy from time to time. The "Last Updated" date at the top of this document will reflect the latest revision. Material changes will be notified via email or through the Service dashboard where practicable. Continued use of the Service after changes constitutes acceptance of the updated Policy.
